Cartlee (“we”, “us”, “our”) is an online platform providing technology services to enable users (“you”, “Seller”) to create and manage their own online stores. By registering and using Cartlee, you agree to comply with these Terms & Conditions and all applicable laws.

• Cartlee is solely a technology service provider and does not buy, sell, or own any products or services offered through the platform.
• You acknowledge that Cartlee acts only as a marketplace facilitator and is not a party to any transaction between you and your customers.
• All products and services offered in your store are your sole responsibility.

• You represent and warrant that you are fully authorized and legally permitted to sell the products and services listed in your store.
• You agree to comply with all applicable laws and regulations, including but not limited to trade licensing, consumer protection, and tax obligations.
• You are solely responsible for maintaining all necessary licenses and permits required by your local jurisdiction.

• You represent and warrant that all content, products, images, trademarks, and materials you upload or offer for sale on Cartlee:
  • Are your original work, or
  • You have obtained all necessary rights, licenses, or permissions from the rightful owner(s).
• Cartlee does not review or approve content prior to publication, and you bear full responsibility for any intellectual property infringement.
• Cartlee reserves the right to remove or disable access to any content upon receiving a valid complaint of intellectual property infringement.
• You agree to indemnify, defend, and hold harmless Cartlee and its affiliates from any claims, damages, losses, or expenses arising from your violation of intellectual property rights.

• You agree not to sell, list, or promote any goods or services that are illegal, counterfeit, stolen, or prohibited by UAE law or the laws of your operating country.
• Prohibited items include but are not limited to:
  • Illegal drugs, weapons, explosives, and hazardous materials.
  • Counterfeit or pirated goods.
  • Products infringing third-party intellectual property rights.
  • Adult content, gambling services, and other restricted categories as outlined by Cartlee and Stripe’s policies.
• Violation of these provisions may result in immediate suspension or termination of your account without refund.

• All payments for products and services sold through Cartlee are processed exclusively via Stripe Connect, where payments are transferred directly from customers to your Stripe account.
• Cartlee does not handle, hold, or process seller funds at any time.
• You are responsible for all payment disputes, chargebacks, refunds, and related costs.
• Cartlee reserves the right to deduct platform subscription fees and transaction commissions as specified in your subscription agreement.

• Cartlee is not a party to any transaction between you and your customers.
• You are solely responsible for customer service, delivery, and resolving any disputes or complaints.
• Cartlee will not mediate or resolve disputes between sellers and buyers except as required by law.

• Cartlee provides the platform “as is” and disclaims all warranties, whether express or implied.
• Cartlee will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the platform or any transactions.
• Cartlee’s maximum aggregate liability to you for any claims related to the platform shall not exceed the total subscription fees paid by you in the preceding three months.

You agree to indemnify and hold harmless Cartlee, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, or expenses arising out of your breach of these Terms, including intellectual property violations, illegal activities, or failure to comply with applicable laws.

• Cartlee reserves the right to suspend or terminate your account at any time, without prior notice, for violations of these Terms or legal requirements.
• Upon termination, your right to access the platform ceases immediately.

• These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.
• Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sharjah.

• Cartlee reserves the right to modify these Terms at any time.
• Continued use of the platform after changes constitute acceptance of the updated Terms.

By creating an account and using Cartlee, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions.

• Using Cartlee to engage in illegal activities or fraud.
• Selling illegal, counterfeit, stolen, or prohibited goods.
• Uploading harmful or offensive content.
• Engaging in activities that disrupt or degrade the platform.

• Comply with all applicable laws.
• Respect intellectual property rights.
• Maintain security of your account credentials.

• Violations may lead to suspension or termination of accounts.
• Cartlee reserves the right to remove any content or listings violating policies.

Users may report violations to Cartlee for review.

Subscription fees are billed in advance and are non-refundable.

Sellers are responsible for their own refund policies with customers.

Sellers may cancel their subscription at any time; however, no refunds will be issued for the current billing period.

Cartlee may terminate or suspend access without refund for policy violations.
